Edward F. Voelker, Jr. for the past 32+ years has concentrated his practice in the areas of business and real estate law, with emphasis on the concerns of the small business owner. Ed’s practice also includes negligence and intentional tort claims, as well as estate planning and administration. Before joining CF+W, Ed was the President of the law firm of Voelker & Associates, P.C. Ed is also the President of Three Rivers Settlement Services, Inc. (a settlement and title agent), and the broker of record of Independence Realty Services, L.P. (a real estate brokerage).
Business Law Practice:
Ed represents corporations, limited liability companies, general and limited partnerships, and sole proprietorships in all fields of business and professions. He counsels individuals going into new business ventures in such matters as choice of business entity, business formation, asset acquisition, and liability avoidance. He also provides general counsel services to his business clients on a broad spectrum of issues facing their businesses, much as larger businesses are served by their in-house attorneys. Ed assists clients with their “day-to-day” business law needs ranging from contract negotiation to litigation of business law matters.
Ed negotiates and prepares documents for businesses, including, formation of business entities and general and complex contracts such as Non-competition agreements, Non-disclosure agreements, Buy-Sell agreements, asset purchases and sales agreements, stock purchases and sales agreements, consulting agreements, employment contracts, commercial leases, real estate purchase and sale agreements, and commercial loan documentation.
Real Estate Practice
Ed provides legal services to commercial and residential real estate brokers, agents, mortgage brokers, buyers, sellers, property owners, landlords, and commercial tenants. He counsels and assists clients in negotiating all types of real estate business transactions such as purchase and sales agreements for residential and commercial property, commercial leases, installment land contracts, purchase options, commercial loan documents, and easements. Ed also represents clients in the enforcement and defense of real estate contracts in matters ranging from actions for specific performance to mortgage foreclosures. Ed has personally conducted over a 1000 real estate closings, and Ed’s settlement company, Three Rivers Settlement Services, Inc., has issued thousands of title insurance policies.
Litigation Practice
Ed represents individual and business clients in a variety of litigation matters. He advises clients on issues ranging from avoiding and resolving disputes, to mapping out the best strategy for success in litigation. Litigation matters include business and real estate contract claims, landlord-tenant disputes, collection of funds, injunctions, business torts, confession of judgments, mortgage foreclosures, quiet title actions, and adjoining landowner disputes.
Estate Planning Practice
Ed explains the available estate planning options in order to ensure that his clients’ testamentary objectives are accomplished and that inheritance and estate tax liabilities are reduced or eliminated. Ed prepares Wills with testamentary trusts, Financial Powers of Attorney, and Health Care Powers of Attorney and Declarations (sometimes referred to as Living Wills or Advanced Directives).
Estate Administration Practice
When a loved one passes away, with or without a will, Ed guides families through the probate and administration process to assist with the orderly transfer of real and personal property, including the preparation of Pennsylvania Inheritance and Federal Estate Tax Returns.
